TEMPORARY DIVISION SERVICES AGREEMENT

UNDERSTANDING BETWEEN PARTIES

1. MONTICELLO NANNIES agrees to use all reasonable efforts to locate temporary child caregivers for

Employer’s childcare need on an as requested basis

2. MONTICELLO NANNIES agrees to disclose all material information acquired by MONTICELLO NANNIES

about the caregivers throughout the qualification process. While MONTICELLO NANNIES will use

all reasonable efforts to ensure that information provided about each candidate is accurate,

Employer has the final responsibility for ensuring the accuracy of the information each nanny

candidate provides.

3. Employer agrees to use his/her best efforts to reach an agreement for temporary childcare with

nanny candidtate submitted by MONTICELLO NANNIES. Employer agrees to pay caregivers directly

for services rendered with a four (4) hour minimum at a rate agreed upon in advance by the nanny

and the Employer.

4. Employer and nanny candidates have the sole authority to negotiate the terms and conditions of

childcare services, provided that the service conforms to the job description Employer provided

to MONTICELLO NANNIES. Employer and nanny candidates must comply with all applicable state

laws, rules and regulations, included those propounded by bureau of citizenship and immigration,

internal revenue service, and department of labor. In the event employer or nanny candidate

does not comply with any such law, rule or regulation, employer will indemnify and hold harmless

monticello nannies from any and all claims arising from such noncompliance.

5. Employer acknowledges that MONTICELLO NANNIES is under no obligation to perform any services

under this Agreement until the registration fee is paid. MONTICELLO NANNIES reserves the right

to suspend services pending payment if there is ever an unsuccessful attempt to charge the

agency fee for placements on the credit card which Employer has provided to us and we are

unable to reach you. Employer further understands that the duties and obligations owed by

Employer to MONTICELLO NANNIES under this agreement shall remain in full force and effect even

after the termination of the Agency’s obligations. In the event Employer hires, retains, or refers

information to a Third Party, or otherwise uses the services of any nanny candidate submitted to

Employer by MONTICELLO NANNIES,  Employer shall pay to MONTICELLO NANNIES  the entire placement

fee, including all applicable charges, and other costs and expenses associated with collecting

such a fee, including but not limited to reasonable Attorney’s fees.

6. Employer understands that the services provided by all caregivers engaged through MONTICELLO

NANNIES must be contracted through the MONTICELLO NANNIES Offices and that ALL

communication with caregiver engaged through MONTICELLO NANNIES should be through the

Agency. Employer agree that he/she will not hire or refer a MONTICELLO NANNIES caregiver to a

Third Party withough the consent of the MONTICELLO NANNIES Offices. Employer further

understands that use of the agency is considered “Theft Of Services”, and will result in a charge

of One Thousand Five Hundred Dollars ($1,500.00) for liquidated damages. In the event

Employers does not hire or retain the services of a nanny candidate submitted to Employer by

MONTICELLO NANNIES and Employer refers the nanny candidate to a Third Party who hires or

retains the services of the candidate, Employer will pay to MONTICELLO NANNIES the entire

placement fee under the same terms and conditions as if Employer had hired or retained the

services of the nanny candidate.

Likewise, MONTICELLO NANNIES will not disclose to any Third Party, other than is necessary to

perform services pursuant to the Services Agreement, any personal or identifying information

provided to MONTICELLO NANNIES by Employer. MONTICELLO NANNIES DOES NOT store or enter

your credit card information in our computers of the Internet. All transactions are secure from our

office directly to our Merchant Service Provider.

7. APPLICATION PROCESSING FEE

Monticello Nannies requires an application processing fee of $300. This fee is needed to complete background check and DMV checks. To process  the application fee, please contact Angela Burruss-Terrell @ (434) 996-4479.

8. FEE SCHEDULE

In the event that the Employer wishes to hire a caregiver referred by MONTICELLO NANNIES on a

permanent basis, the standard placement fee will apply less the amount paid by the Employer to

register for Temporary/On-Call Srvices, pro-rated by the month. MONTICELLO NANNIES standard

placement fee for a permanent caregiver is fifteen percent (15%) of the nanny’s projected annual

compensation.

The Employer understands that caregiver working with MONTICELLO NANNIES are ‘Associates’, and

NOT ‘employees’, of MONTICELLO NANNIES.  The Employer understands that if they pay more than

One Thousand Six Hundred Dollars ($1,600.00) per calendar year to any one (1) caregiver, the

Employer is responsible for withholding and filing employment taxes for that person. Social

Security numbers of caregiver must be obtained directly from caregivers.

9. EMERGENCY MEDICAL CARE RELEASE

In case of a medical emergency, the MONTICELLO NANNIES caregiver will use all reasonable efforts

to contact me. Should such efforts to contact me fail, I hereby grant permission to the caregiver

to secure emergency treatment for my child/children as may be necessary in my child/children’s

best interest.

9. Employer agrees to forever indemnify,release and hold harmless MONTICELLO NANNIES caregivers

as well as MONTICELLO NANNIES its agents, employees, and officers for any and all claims relating

to services provided by caregivers.

EFFECTIVE DATE(S)

AUTHORIZATION

This agreement sets forth the entire understanding of the parties hereto with respect to the subject matter

hereof and supersedes all prior agreements, written or oral, between them as to such subject matter.

Neither this Agreement nor any provision hereof may be modified, altered, amended, or waived except

by an instrument in writing duly signed by the party to be charged. This agreement shall be governed by

and construed in accordance with the internal laws of the Commonwealth of Virginia, without reference

to the principles of conflict of laws. All actions and proceedings arising out of or relating to this

Agreement shall be heard and determined in any State or Federal Court sitting the City of Charlottesville

in the Commonwealth of Virginia, and the parties hereto hereby consent to the jurisdiction of such Courts

in any such action or proceeding. If MONTICELLO NANNIES is required to enforce the terms of this

Agreement during the term of this Agreement or thereafter, the costs thereof, including reasonable

attorney’s fee, hall be paid by the Employer
